1. Agreement to terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or "Customer") and 13698491 Canada Inc, doing business as GoQA ("GoQA", "we", "us", or "our"), with a registered place of business at 1202 Stirling Todd Terrace, Milton, Ontario, Canada.
By creating an account, accessing, or using the GoQA platform, related websites, APIs, or services (collectively the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of service
GoQA is an AI-powered quality-assurance platform that generates test cases from acceptance criteria, URLs, or screenshots; crawls websites; and runs accessibility, performance, and security audits.
We continuously improve the Service and may add, change, or remove features at any time. We will use reasonable efforts to give material advance notice of changes that meaningfully reduce functionality of paid plans.
3. Accounts and eligibility
You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service. You are responsible for keeping your credentials confidential and for all activity under your account.
You agree to provide accurate, current, and complete registration information and to update it as it changes. We may suspend or terminate accounts containing inaccurate information or otherwise in breach of these Terms.
4. Acceptable use
You may only use the Service on websites and assets you own or have explicit written permission to test. Crawls, audits, and security probes are non-destructive but still produce traffic; running them against a property you do not control may violate computer-misuse laws in your jurisdiction.
You agree not to (a) attempt to reverse-engineer the Service, (b) abuse rate limits or interfere with other customers, (c) upload malware or unlawful content, (d) use the Service to generate content that infringes a third party's rights, or (e) resell the Service without a written reseller agreement.
5. AI-generated content
Output from AI features (test cases, scan summaries, suggested fixes) is provided on an "as-is" basis. You are responsible for reviewing AI-generated content before relying on it in production, in safety-critical workflows, or for regulatory compliance.
By contract with our model providers, your prompts and inputs are excluded from any model training or fine-tuning pipeline. See our data confidentiality commitments on the About page for details.
6. Intellectual property
The Service, including its software, design, and documentation, is owned by GoQA and protected by Canadian and international intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service.
You retain ownership of any content you submit (acceptance criteria, URLs, screenshots) and of the outputs you generate. You grant GoQA the rights necessary to host, process, and display that content solely to provide the Service to you.
7. Plans, billing, and refunds
Paid plans are billed in advance on the cadence shown at checkout (monthly or annually) in the currency listed. Fees are non-refundable except where required by law or expressly stated in our refund policy.
You may cancel at any time from the dashboard; cancellation takes effect at the end of the current billing period. Plan upgrades take effect immediately and are prorated. We may change pricing on at least 30 days' notice; changes apply to the next renewal.
8. Privacy and data protection
GoQA processes personal information under Canada's Personal Information Protection and Electronic Documents Act (PIPEDA). All workspace data is encrypted in transit (TLS) and at rest (AES-256), and access is scoped per user via Postgres row-level security.
You are the controller of any personal data you submit to the Service; we act as your processor for that data. If you require a Data Processing Addendum, contact us at the address below.
9. Third-party services and integrations
The Service may integrate with third-party tools (e.g. Jira, Zephyr, Azure DevOps, Slack, Stripe). Your use of those tools is governed by the third party's own terms, and we are not responsible for their availability, accuracy, or content.
10. Disclaimer of warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, GoQA disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
11. Limitation of liability
To the maximum extent permitted by law, GoQA, its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Service.
Our aggregate liability for any claim arising out of or relating to these Terms or the Service will not exceed the fees you paid to GoQA in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD 100), whichever is greater.
12. Indemnification
You agree to defend, indemnify, and hold harmless GoQA and 13698491 Canada Inc from any claim, damages, liabilities, or expenses (including reasonable legal fees) arising out of (a) your use of the Service, (b) your breach of these Terms, or (c) your violation of any third-party right, including running scans on systems you are not authorized to test.
13. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms, exposed the Service or other customers to risk, or used the Service unlawfully. On termination, your right to access the Service ends; you may export your data for a reasonable period after termination, after which it may be permanently deleted.
14. Changes to these terms
We may revise these Terms from time to time. The most current version will always be posted at this URL with an updated "Last updated" date below. Material changes will be communicated by email or via an in-product notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. You and GoQA submit to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada, for any disputes arising out of or relating to these Terms or the Service.
